Accelx, Incorporated Terms of Service
These are the terms and conditions (Terms) cover your use and access to the products, services, software, platform and websites (collectively, "Services") provided by Accelx, Inc. By using our Services, you agree to be bound by these Terms as well as our privacy policy.
Accelx provides user with AI powered web services, applications and components. Services require the user to pay for their use.
Registration is required for use of the Services. User agrees to provide all required information accurately. Accelx reserves the right to suspend or terminate Services to any User, if Accelx in its sole discretion determines that the registration information is not accurate and complete.
The Accelx Privacy Policy is contained in a separate document and is hereby made an integral part of this Agreement.
User Account, Username, and Password - During registration the User selects a Username and Password. The User is responsible for retaining the Username and password in confidence. The User is responsible for all activities that occur using this Username and password. The User agrees to immediately notify Accelx of any unauthorized use of the Username and password, and to log out after each session.
5. When you purchase a service, Accelx, inc store your contact and billing information for records. Accelx, inc’s secure website keeps your personal information safe.
Accelx gladly offer refunds for billing mistakes. If you change your mind and want to cancel an account that you paid for upfront, Accelx can give you a prorated refund. Unless you have a good reason, we don't give refunds for services that you've already used.
When you sign up for a free trial, we'll convert you to a paid membership at the end of your trial unless you cancel first. Monthly memberships will automatically renew each month, but you can cancel or downgrade at any time.
Responsible use:You must use Services and Software responsibly
Misuse- You must not misuse the services and software. The user agrees as follows:
a. not to copy, modify, host, stream, sublicense, or resell the Services or Software;
b. not to enable or allow others to use the Services or Software using your account information;
c. not to access or attempt to access the Services or Software by any means other than the interface we provide or authorize;
d. not to attempt to disable, impair, or destroy the Services and Software;
e. not to forge headers of postings, e-mails, or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Services;
f. not to upload, post, e-mail, transmit, or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
g. not to upload, post, e-mail, transmit, or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under non-disclosure or confidential disclosure agreements);
h. not to upload, post, e-mail, transmit, or otherwise make available any information that you consider confidential in nature, which posting may cause you or any third party to lose rights to the intellectual property associated with the information;
i. not to upload, post, e-mail, transmit, or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright, or other proprietary and lawful rights of any party;
j. not to upload, transmit, store, or make available any Content or code that contains any viruses, malicious code, malware, or any components designed to harm or limit the functionality of the Services or Software;
k. not to disrupt, interfere with, or inhibit any other user from using the Services or Software (such as stalking, intimidating, or harassing others, inciting others to commit violence, or harming minors in any way);
l. not to intentionally or unintentionally violate any local, state, national, or international law;
m. not to "stalk" or otherwise harass another; or collect or store personal data about other users;
This Agreement shall be governed by the laws of the State of California without regard to any conflicts of law provisions.
The service is controlled, operated and administered by our offices in USA and Bangladesh. If you access service from any location outside USA, you are responsible for compliance with all local laws. You agree that you will not use Accelx content and IPs owned by Accelx, inc, accessed through https://accelx.net in any country or in any manner prohibited by any applicable laws, restrictions or regulations.
If you have a problem with Accelx, Inc and customer service can't help, you waive your right to sue us, either individually or by class action. Instead, we'll resolve your dispute using private arbitration.
Accelx, INC makes no warranty that: (a) the Services will meet your requirements, (b) the Services will be uninterrupted, timely, secure, or error-free, (c) the results that may be obtained from the use of the Services will be accurate or reliable, (d) the quality of any products, Services, information, or other material purchased or obtained by you through the Services will meet your expectations, and (e) any errors in the software will be corrected.
ACCELX, INC MAKES NO WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. ACCELX, INC SHALL NOT HAVE ANY LIABILITY WHATSOEVER FOR ANY COVER OR SET OFF NOR FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Unless stated in the Additional Terms, we are not liable to you or anyone else for any loss of use, data, goodwill, or profits, whatsoever, and any special, incidental, indirect, consequential, or punitive damages whatsoever, regardless of cause (even if we have been advised of the possibility of the loss or damages), including losses and damages (a) resulting from loss of use, data, or profits, whether or not foreseeable; (b) based on any theory of liability, including breach of contract or warranty, negligence or other tortious action; or (c) arising from any other claim arising out of or in connection with your use of or access to the Services or Software.
If you are dissatisfied with any portion of the site, or with any of these terms of use, your sole and exclusive remedy is to discontinue using the site.
Accelx, Inc reserves the right, in its sole discretion, to change the Terms under which it website and services offered. The most current version of the Terms will supersede all previous versions. Accelx, inc encourages you to periodically review the Terms to stay informed of our updates.
If an ambiguity or question of intent arises with respect to any provision of this Agreement, the Agreement will be construed as if drafted jointly by the parties and no presumption or burden of proof will arise favoring or disfavoring either party by virtue of authorship of any of the provisions of this Agreement.
